A proforma invoice is a preliminary invoice sent before a sale is finalised. It shows the buyer exactly what they will be charged — items, quantities, prices, tax, delivery terms — so they can approve the order, arrange payment or apply for an import licence. It is not an accounting document and does not demand payment.
A proforma comes before the sale and is not legally binding; the final invoice comes after delivery and is a demand for payment that goes into the books. A proforma also carries a validity date instead of a due date.
The words "Proforma invoice", a reference number, the issue date and how long it is valid, seller and buyer details, a description of each item with quantity and unit price, currency, taxes, shipping or delivery terms, payment details, and a note that it is not a request for payment. This generator lays all of that out for you.
Often, yes. Customs authorities and banks accept a proforma to estimate duties, open a letter of credit or issue an import permit before the goods ship. For the shipment itself you will need a commercial invoice — we have a free generator for that too.
