Terms of Service

Last updated: July 29, 2026

These Terms of Service (“Terms”) govern your access to and use of BillingOtter’s website and free tools at billingotter.com and the BillingOtter application at app.billingotter.com (together, the “Services”), operated by BillingOtter from New York, New York, United States. By using the Services you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. The Services

BillingOtter provides (a) free online tools — such as file converters, calculators, and the invoice and estimate generators — that run in your browser, and (b) a hosted application for creating and managing invoices, estimates, purchase orders, clients and related business documents. We may add, change or remove features at any time.

2. Eligibility & Accounts

You must be at least 16 years old and able to form a binding contract to use the Services. The free browser tools generally require no account. For the app, you are responsible for the accuracy of your registration details, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.

3. Acceptable Use

You agree not to:

  • use the Services for anything unlawful, fraudulent, or deceptive — including creating fake, misleading or fraudulent invoices or documents;
  • upload or process content you don’t have the right to, or that infringes others’ rights;
  • attempt to disrupt, overload, reverse-engineer, scrape, or gain unauthorized access to the Services or their infrastructure;
  • resell, or build a competing product on top of, the Services;
  • use the Services to send spam or unsolicited messages, or to violate others’ privacy.

We may investigate and take action, including suspension or termination, for violations.

4. Your Content

You retain all ownership of the data and documents you create with the Services (“Your Content”). You grant BillingOtter a limited license to host, store, process and display Your Content solely to operate and provide the Services to you. You are solely responsible for Your Content and for ensuring it is lawful and accurate. Files handled by the free browser tools are processed on your device and are not uploaded to us.

5. Free Tools

The free tools are provided as a convenience, “as is,” and may change or be discontinued at any time. They process your files locally in your browser. You are responsible for keeping your own copies of any files or outputs — we do not store them and cannot recover them.

6. Plans, Billing & Cancellation

  • Free plan. BillingOtter offers a free plan with usage limits. We may change the limits of the free plan over time.
  • Paid subscriptions. Paid plans are billed in advance on a recurring (e.g., monthly) basis through our payment processor, Stripe. Your subscription renews automatically until you cancel.
  • Cancellation. You may cancel anytime from your account; cancellation takes effect at the end of the current billing period, and you keep access until then.
  • Refunds. Except where required by law, payments are non-refundable and there are no refunds or credits for partial periods or unused features.
  • Price changes & taxes. We may change prices with reasonable notice; changes apply to the next billing cycle. Fees are exclusive of taxes, which you are responsible for where applicable.

7. Third-Party Services

The Services rely on third parties such as Stripe (payments), our hosting and database providers, and AI providers (Google Gemini, Anthropic Claude) for AI features. Your use of those features may also be subject to the third party’s terms. We are not responsible for third-party services we do not control.

8. Intellectual Property

The Services, including their software, design, branding and content (excluding Your Content), are owned by BillingOtter and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. You may not copy, modify or create derivative works of the Services except as expressly permitted.

9. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

Not professional advice. BillingOtter’s calculators and tools (including paycheck, tax, currency, and finance calculators) are for general informational purposes only and are not financial, tax, legal or accounting advice. Verify important figures and consult a qualified professional before relying on any result.

10. Limitation of Liability

To the maximum extent permitted by law, BillingOtter will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the greater of (a) the amount you paid us in the twelve months before the claim, or (b) US $100. We keep no backups of the free tools’ files and are not liable for data loss.

11. Indemnification

You agree to indemnify and hold BillingOtter harmless from claims, losses and expenses (including reasonable legal fees) arising out of Your Content, your use of the Services, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you violate these Terms, fail to pay, or create risk or legal exposure for us — and we may discontinue the Services with reasonable notice. Sections that by their nature should survive termination (e.g., content ownership, disclaimers, liability limits) will survive.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in New York, New York will have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to venue there, to the extent permitted by law.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date and, for material changes, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.
